NASDAQ: SPKL) (“SPKL” or “Spark I”) today announced the confidential submission of a draft registration statement on Form S-4 (as may be amended and supplemented from time to time, the “Registration Statement”) with the U.S. Securities and Exchange Commission (“SEC”) in connection with their previously announced proposed business combination (the “Transaction” or the “Business Combination”).

NASDAQ: SPKL) ("Spark I"), a special purpose acquisition company formed by SparkLabs Group. This proposed transaction (the “Transaction” or the “Business Combination”) represents a pro forma enterprise value of approximately $752 million and, upon completion, is expected to result in ZincFive becoming a Nasdaq-listed company under the ticker symbol ZFIV and under the name “ZincFive, Inc."
